MEMORANDUM OF UNDERSTANDING

This Memorandum of Understanding (MoU) is entered into on 2025-01-22, by and between SignalCom Ltd, hereinafter referred to as "Party A," and You, hereinafter referred to as "Party B."

WHEREAS, Party A possesses a feature named Cloud Key (the "Feature") that has the potential to impact the financial stability of both parties;

WHEREAS, Party B desires to utilize the Feature for its business operations, understanding the associated risks and responsibilities;

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

Objective:
1.1 The purpose of this MoU is to outline the terms and conditions under which Party B may use the Feature.
Feature Usage:
2.1 Party B agrees to use the Feature solely for the purposes agreed upon by both parties.
2.2 Party B acknowledges the potential financial risks associated with the Feature and agrees to use it responsibly.
Financial Responsibility:
3.1 Party B acknowledges that the Feature has the potential to impact its financial stability.
3.2 In the event of any financial losses incurred by Party B as a result of using the Feature, Party A shall not be held liable.
Risk Mitigation:
4.1 Party A and Party B agree to work collaboratively to identify and mitigate potential risks associated with the Feature.
4.2 Both parties commit to establishing contingency plans to address any adverse financial consequences that may arise.
Confidentiality:
5.1 Both parties agree to treat any information related to the Feature as confidential and proprietary.
5.2 Confidential information shall not be disclosed to third parties without the express written consent of the disclosing party.
Term and Termination:
6.1 This MoU shall commence on the effective date and continue until terminated by either party with written notice.
6.2 Either party may terminate this MoU in the event of a material breach by the other party.
Miscellaneous:
7.1 This MoU constitutes the entire understanding between the parties and supersedes all prior agreements, whether written or oral.
7.2 Any amendments to this MoU must be made in writing and signed by both parties.
